These Terms & Conditions govern your use of azulelefant.tech and any services provided by Azul Elefant — including website access, YALI, enquiries, discovery call bookings, Academy interest forms, and general service access. By using our website or engaging our services, you agree to these terms. If you don't agree, please do not use our website or services.

Overview

These Terms & Conditions govern your use of azulelefant.tech and any services provided by Azul Elefant, including:

  • Browsing or using our website
  • Interacting with YALI (our AI brand advisor)
  • Submitting an enquiry or contact form
  • Booking a discovery call
  • Expressing interest in or enrolling in AE Academy
  • Accessing any general service information on the site

Paid client projects are governed by the specific written proposal, invoice, and agreed scope document issued for that engagement. Where there is a conflict between these Terms and a signed client document, the signed document prevails.

Azul Elefant is operated by Illam Parithi as a sole proprietorship registered in Tamil Nadu, India.

Services

Azul Elefant delivers services across four areas: brand strategy, AI video production, automation systems, and AE Academy (AI training). Services are described on our website and finalised through a written proposal after a Brand Deep Dive or Discovery Call.

What's included:

The specific deliverables, timelines, and revision rounds explicitly listed in your agreed proposal or scope document.

What's not included:

Any service, output, revision, or deliverable not explicitly mentioned in the agreed scope — including but not limited to platform management, paid media buying, ongoing content creation, translation, printing, or third-party licensing fees.

Azul Elefant reserves the right to decline engagements at its discretion.

Discovery Call

  • Booking fee: ₹499 secures your scheduled discovery call. This is not a “free consultation” — it ensures mutual commitment to the session.
  • Credit: The ₹499 fee is credited against your first paid engagement if you proceed within 30 days of the call.
  • No-show policy: If you do not attend or cancel without at least 24 hours' notice, the fee may not be refunded.
  • Rescheduling by AE: We may reschedule your call due to operational constraints. In this case, your fee is fully preserved and applied to the rescheduled session.
  • Brand Snapshot: Any strategic guidance or brand snapshot shared during the discovery call is provided as directional input, not a guarantee of revenue, search rankings, lead volume, or business outcomes.

Intellectual Property

Client-owned (upon full payment):

Final approved deliverables you have paid for in full — including logos, brand documents, copywriting, videos, website files, and automation documentation — are owned by you upon receipt of full payment.

Azul Elefant-owned:

The following remain the intellectual property of Azul Elefant at all times:

  • Logic × Magic™ framework and methodology
  • YALI™ architecture, prompt systems, and AI advisor logic
  • Internal templates, frameworks, and reusable code libraries
  • Draft files, research, and working materials generated during an engagement

You may use the outputs generated through these frameworks but may not reproduce, resell, license, or represent the frameworks themselves as your own.

Third-party-owned:

Fonts, stock images, licensed music, AI tools, APIs, and SaaS platforms used in delivering your project are subject to their own licensing terms. We will inform you of any materials that require a separate licence in your name.

AI-generated materials:

Where AI tools are used to generate content, images, or code for your project, ownership and rights are transferred to you only to the extent permitted by the terms of the relevant AI tool. We cannot guarantee full copyright ownership of AI-generated outputs under current law. You are responsible for legal clearance before commercial use.

Payment Terms

  • Deposit: 50% of the agreed project value is due before any work begins. Work does not start until the deposit is received.
  • Balance: The remaining 50% is due before final files are released or access is transferred. Final deliverables are withheld until full payment is confirmed.
  • Late payment: Delivery will be paused on overdue invoices after 7 days. A 2% monthly late fee applies to balances unpaid after 14 days.
  • Refunds: Deposits are non-refundable once work has commenced. If a project is cancelled before any work begins, the deposit is refunded minus any discovery or planning costs already incurred. See Section 06 for the full refund policy.
  • Invoicing: All amounts are in Indian Rupees (INR) unless explicitly agreed otherwise in writing. GST applies where required by law.

Refund Policy

Refund eligibility varies by service category. Please review the applicable section before booking or enrolling.

Discovery Call (₹499 booking fee):

  • You may reschedule once with at least 24 hours' notice — no penalty
  • No-shows or cancellations with less than 24 hours' notice: fee is non-refundable
  • If AE cancels or reschedules without providing an alternative: full refund issued

AE Academy:

  • Full refund if requested before the cohort officially begins (first session date)
  • No refund after sessions have begun, unless Azul Elefant cancels the cohort
  • If AE cancels a cohort: full refund issued to all enrolled participants

Brand Strategy / Production / Automation Systems:

  • Deposit is non-refundable once work has begun (research, strategy, or design initiated)
  • If cancelled before commencement: full refund minus any discovery or planning costs already incurred (itemised and communicated to you)
  • If Azul Elefant is unable to deliver the agreed scope due to internal reasons: partial credit or refund proportional to undelivered work will be issued

General:

Refund requests must be submitted to hello@azulelefant.com in writing. Approved refunds are processed within 10 business days via the original payment method where possible.

Client Responsibilities

To enable timely, high-quality delivery, clients agree to:

  • Provide accurate and complete information about their business, products, services, and target market — including any claims made in copy or creative materials
  • Conduct or commission any required trademark searches or regulatory checks before approving brand names, slogans, or creative assets for public use
  • Ensure all materials provided to AE (images, music, copy, data) are owned by the client or properly licensed for the intended use
  • Provide correct business registration details, tax information, and contact data for invoicing and compliance purposes
  • Submit feedback, approvals, and required content within the timeframes agreed in the project plan
  • Designate a single point of contact with authority to approve creative work
  • Ensure their industry, product, or service complies with applicable laws and does not require materials that infringe third-party intellectual property rights

Client delays: Project timelines depend on timely client input. Delays caused by late feedback, missing content, or slow approvals are not Azul Elefant's liability. Timelines will shift proportionally, and additional resource costs (if any) may be invoiced.

Revisions

The number of revision rounds included in each engagement is specified in the project proposal or scope document.

  • Included revisions: Changes within the agreed creative direction, scope, and brief — as documented at the start of the project
  • Additional revisions: Any revision rounds beyond the agreed number are billed at ₹2,500 per hour, invoiced before work resumes
  • Scope changes: Changes to the original brief, strategic direction, number of deliverables, or target audience after work has commenced are treated as a new scope — separately quoted and invoiced

Revisions are not unlimited rounds of “try this instead.” If feedback consistently redirects away from the agreed direction, this signals a scope change and will be treated accordingly.

AI Output Disclaimer

Azul Elefant uses AI tools (including OpenAI models, generative image tools, and other AI platforms) in the delivery of brand strategy, content, production, and automation services.

AI-generated outputs may contain:

  • Errors, inaccuracies, or hallucinated statements
  • Unexpected similarities to existing content, brands, or materials
  • Omissions or gaps requiring human expert review
  • Outputs that may not be fully protectable under copyright law in all jurisdictions

Clients must review, approve, and legally clear all AI-generated materials before public use. This includes — but is not limited to — review for trademark conflicts, regulatory compliance, and similarity to third-party content.

Azul Elefant does not guarantee that AI-generated content is free from third-party similarity, trademark conflict, copyright issues, or regulatory risk. By approving and publishing AI-generated materials, the client accepts responsibility for any resulting legal or commercial consequences.

No Guarantee Clause

Azul Elefant shares case studies, results data, and client outcomes as examples of what is possible. These are not guarantees.

Past results — including ROAS (return on ad spend), reach, follower growth, lead volume, authority gains, and conversion metrics — reflect specific engagements under specific conditions. They are not representative of what every client will achieve.

Business outcomes depend on factors outside Azul Elefant's control, including:

  • Offer quality, pricing, and market fit
  • Market demand and competitive landscape
  • Client execution and operational readiness
  • Platform algorithm changes (Meta, Google, Instagram, YouTube)
  • Economic conditions

Azul Elefant does not guarantee revenue, rankings, virality, lead generation, advertising performance, or any specific business outcome. Brand and marketing work increases the probability of success — it does not guarantee it.

Limitation of Liability

Azul Elefant is not liable for:

  • Business outcomes, revenue results, or commercial performance arising from brand, marketing, production, or AI systems work delivered
  • Third-party platform performance — including ad platforms, social networks, website hosts, email providers, or payment processors
  • Losses arising from client-side delays, inaccurate or incomplete briefs, failure to act on recommendations, or failure to review AI-generated content before use
  • Losses caused by the client's own regulatory non-compliance, trademark infringement, or legal exposure
  • Force majeure events outside our reasonable control — including natural disasters, platform outages, government actions, or infrastructure failures

Total liability cap: Our aggregate liability in any engagement, for any reason, is limited to the total fees paid by the client for that specific project or service.

AI Agent Limitation (YALI)

YALI is provided as a brand advisory and enquiry routing tool. It is powered by AI and designed to help you think through brand positioning, strategy, and next steps.

YALI does not provide: legal advice, financial advice, tax advice, medical advice, investment advice, or any regulated professional service.

YALI responses are AI-generated and may be incomplete, inaccurate, or not applicable to your specific situation. Human review is required before making any business decision based on YALI output.

Do not share passwords, government ID numbers, bank details, confidential trade secrets, or sensitive personal information with YALI.

Academy Terms

Certification:

AE Academy issues a completion certificate from Azul Elefant upon meeting attendance and submission requirements. This certificate is issued by Azul Elefant and is not currently government-recognised or NSDC-certified. We will update this section if certification status changes.

Attendance:

Attendance requirements for certification are specified per cohort. Participants who do not meet the minimum attendance threshold may not receive a certificate. Make-up sessions are not guaranteed.

No job guarantee:

AE Academy provides knowledge, frameworks, and hands-on practice. Completion of a course does not guarantee employment, freelance income, or any specific career outcome.

Minors (under 18):

Participants aged 13–17 must have verified parental or guardian consent before enrolment, payment, certification, or participation in any community or group channel. Parents may request data access or deletion at any time.

Recording policy:

Sessions may be recorded for internal quality review and to provide replay access to enrolled participants. Recordings are not shared publicly without participant consent. Participants must not share session recordings externally without written permission from Azul Elefant.

Refunds:

Full refund if requested before the cohort's first session. No refund after sessions begin, unless Azul Elefant cancels the cohort (in which case a full refund is issued to all participants).

Confidentiality

Azul Elefant treats all client information — business briefs, strategy documents, financial data, product roadmaps, and any other proprietary information — as confidential. We will not disclose this information to any third party without your explicit consent.

Portfolio reference: We may reference the engagement in our portfolio — for example, as a category mention (“D2C brand in Chennai”) or a case study — unless you request otherwise in writing before the engagement begins. We will not share confidential specifics without permission.

Mutual NDA: We are happy to sign a mutual non-disclosure agreement before any briefing begins. Contact us at hello@azulelefant.com to request one.

This confidentiality obligation does not apply to information that: (a) is publicly available through no fault of AE, (b) was known to AE before the engagement, or (c) is required to be disclosed by law or court order.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms, our website, or services will be subject to the exclusive jurisdiction of courts in Tamil Nadu, India.
